UK Regulator Finalises First Rules for ESG Rating Providers

The FCA, the UK markets regulator, will require ESG rating firms to hold authorisation once its new regime takes effect on 29 June 2028.

What happened

On Tuesday the FCA released PS26/22, its finished rulebook placing ESG rating providers under its supervision for the first time [1]. The scope reaches any firm or organisation that provides such ratings or assessments, and the agency has issued guidance so businesses can work out if they are caught [1].

Obligations touch disclosure, governance, internal systems, handling of conflicts, and how providers deal with both their customers and the companies they score [1]. The FCA says the burden scales with a firm's size and activities [1]. It also drew on recommendations from the International Organization of Securities Commissions (IOSCO) [2].

How it affects Americans

The FCA says asset managers, lenders, benchmark administrators and others rely on these scores to guide capital allocation and manage risk [1]. Its policy page lists asset managers, asset owners and benchmark administrators among the ratings users the rules are relevant to [2]. Our read: American investors who use scores produced or sold in the UK may see more disclosure about how they are built. The regulator says the rules aim to improve transparency, reliability and comparability so investors can make better informed decisions [1].

The Veil Press view

Laura Dawes, director of authorisations and sustainable finance at the FCA, said: "Trusted information is essential for well-functioning markets." [1] Our read: the test is whether oversight brings consistency without steering what the scores conclude. The agency stresses that it polices how scores are made, overseen and communicated, not which sustainability outlook or method a provider adopts [1].

What we know

Confirmed

  • Providers serving the UK market may seek FCA authorisation once the gateway opens on 24 June 2027 [2].
  • Starting 29 June 2028, anyone offering these scores in the UK needs FCA authorisation and the matching permission, barring an exemption [1].
  • The final text follows consultation CP25/34, open from 1 December 2025 until 31 March 2026 [1].
  • Government legislation handing the FCA this remit came in October 2025, and 95% of respondents to the government's consultation backed it [1].
  • Dawes said: "Firms should check now whether they are in scope and start preparing for authorisation." [1]
  • In the FCA's Financial Lives Survey 2024, 72% of adults holding investments or a defined contribution pension said they wanted their money to do some good alongside a return [1].

Still being reported

  • Individual application windows were not published; the FCA says those periods will be staggered [2].
  • The regulator lists webinars on 7 December 2026 and 26 January 2027 [2].
